Prometal décroche 40 millions d'euros d'Afreximbank : un bol d'air dans une sidérurgie camerounaise sous pression


Signé le 28 septembre 2026 au Caire, l'accord porte sur une facilité renouvelable de fonds de roulement de 40 millions d'euros, soit 26,2 milliards de FCFA. Objectif : sécuriser les approvisionnements en billettes d'acier, alors que la ferraille locale ne couvre plus que 40 % des besoins des aciéries camerounaises.


Le leader de la sidérurgie-métallurgie en Afrique centrale vient de marquer un point. Prometal SA, filiale de Prometal Groupe, a obtenu d'Afreximbank une facilité renouvelable de fonds de roulement de 40 millions d'euros — 26,2 milliards de FCFA — pour financer ses importations de matières premières. L'accord a été paraphé le 28 septembre 2026 au Caire, en Égypte, par Denys Denya, vice-président de la Banque africaine d'import-export, et Hayssam El Jammal, PDG de Prometal Groupe.


Selon un communiqué publié le 30 septembre par l'institution financière, cette enveloppe doit permettre au groupe de sécuriser ses approvisionnements en billettes d'acier et autres produits sidérurgiques intermédiaires utilisés dans ses usines. Les billettes, rappelons-le, sont ces lingots ou barres issus de fer fondu, ensuite transformés en fer à béton et autres produits en acier.


« Aujourd'hui, nous franchissons une nouvelle étape clé de notre croissance grâce à ce partenariat stratégique avec Afreximbank, qui témoigne de l'engagement constant de la Banque à concrétiser les ambitions industrielles de l'Afrique », a déclaré Hayssam El Jammal lors de la cérémonie de signature. Le dirigeant entend inscrire cette relation financière dans la durée pour accompagner le développement du groupe sur le continent.


La ferraille locale ne suffit plus


Ce financement tombe à pic. Car l'approvisionnement en matières premières est devenu le casse-tête numéro un des industries camerounaises de transformation de l'acier. Faute d'une filière locale de minerai de fer alimentant les aciéries, celles-ci dépendent principalement de la ferraille collectée sur le marché camerounais et de produits semi-finis importés, dont les billettes.


Mais la multiplication des capacités de transformation a fait exploser les besoins en intrants. Selon l'Organisation camerounaise des industries de transformation de l'acier et des métaux (Ocitram), les aciéries ne couvrent désormais plus que 40 % de leurs besoins grâce à la collecte locale de ferraille. Un déficit qui pousse les industriels à se tourner massivement vers l'étranger. C'est précisément là que la facilité accordée à Prometal prend tout son sens : elle offre à l'entreprise une enveloppe mobilisable pour financer son cycle d'exploitation et ses importations d'intrants.


Pour George Elombi, président d'Afreximbank, « ce financement s'inscrit dans la droite ligne de l'engagement d'Afreximbank à accélérer l'industrialisation, en veillant à ce que le continent tire le meilleur parti de ses ressources naturelles ». Le soutien à des industriels comme Prometal doit, selon lui, contribuer au développement des capacités manufacturières et des chaînes de valeur régionales.


1,2 million de tonnes de capacités pour 450 000 tonnes de demande


Mais l'accès aux matières premières n'est qu'une pièce du puzzle. La filière camerounaise fait face à un paradoxe brutal : ses capacités de production dépassent largement la demande intérieure. Selon les données communiquées par les industriels, les capacités installées de transformation de l'acier et des métaux atteignent environ 1,2 million de tonnes par an au Cameroun, contre une demande estimée à 450 000 tonnes. Autrement dit, la capacité installée est environ 2,7 fois supérieure au marché national.


Résultat : l'Ocitram estime que cette situation, combinée à la rareté des matières premières et aux contraintes énergétiques, pousse les usines à fonctionner autour de 50 % de leurs capacités. L'organisation évalue par ailleurs à environ 30 milliards de FCFA la valeur des produits sidérurgiques stockés dans les entrepôts des industriels en ce mois de septembre 2026, une accumulation qu'elle attribue à la saturation de certains segments du marché.


Prometal obtient donc des ressources supplémentaires pour sécuriser ses intrants au moment même où l'industrie camerounaise doit gérer deux contraintes simultanées : financer des matières premières devenues plus difficiles à mobiliser localement, et écouler une production issue de capacités industrielles désormais largement supérieures à la demande intérieure. Un contexte qui devrait induire une rationalisation dans la filière, alors que de nouvelles aciéries sont annoncées dans le pays.


AGL Cameroun : une recapitalisation de 7,215 milliards FCFA qui ne change rien… ou presque


L'augmentation de capital décidée en mars 2026 est désormais définitive. Mais l'opération ramène AGL Cameroun à son point de départ, sans préciser l'identité des souscripteurs.


AGL Cameroun a définitivement réalisé l'augmentation de capital de 7,215 milliards de FCFA décidée en mars 2026, selon une annonce légale publiée dans Cameroon Tribune. L'opération ne porte toutefois pas son capital au-dessus de son niveau antérieur : celui-ci avait d'abord été réduit de 10,621 milliards à 3,406 milliards de FCFA, avant d'être reconstitué à 10,621 milliards de FCFA.


Cette opération avait été décidée par l'assemblée générale extraordinaire du 6 mars 2026. La société a d'abord réduit son capital de 7,215 milliards de FCFA, par annulation de 214 499 actions sur les 315 750 existantes. Elle a ensuite procédé à une augmentation d'un montant identique par l'émission de 214 499 actions ordinaires nouvelles, d'une valeur nominale de 33 639 FCFA chacune. L'annonce légale constate désormais la réalisation définitive de cette seconde étape.


La recapitalisation ne se traduit donc pas par une hausse nette du capital social par rapport à la situation antérieure. Elle ramène AGL Cameroun à son point de départ, avec 315 750 actions représentant 10 621 514 250 FCFA.


L'identité des souscripteurs reste floue


L'annonce ne précise cependant pas l'identité des souscripteurs aux 214 499 actions nouvelles, ni leur répartition. Cette information permettrait de déterminer si l'opération a modifié les participations respectives des actionnaires ou si ceux-ci ont reconstitué leurs positions antérieures.


La question se pose notamment au regard de l'évolution récente de l'actionnariat d'AGL Cameroun. Cameroon Continental Merchants Limited (CCML) avait acquis 31 575 actions, correspondant à 10 % des 315 750 titres composant le capital. Cette opération avait été agréée par le conseil d'administration d'AGL Cameroun le 23 décembre 2024. Le prix de cession n'avait pas été rendu public.


L'avis légal ne permet donc pas d'établir si la participation de CCML est restée à 10 % après la réduction puis la reconstitution du capital. Il ne précise pas davantage la motivation de la réduction préalable de 7,215 milliards de FCFA.


L'augmentation de capital avait déjà été rendue publique après l'assemblée générale extraordinaire du 6 mars. L'information nouvelle apportée par l'annonce légale est donc l'achèvement effectif de l'opération, et non son montant : la réduction de 7,215 milliards de FCFA et l'augmentation d'un montant identique sont désormais réalisées, et le capital d'AGL Cameroun est rétabli à 10,621 milliards de FCFA.




Prometal Secures €40 Million from Afreximbank: A Lifeline for Cameroon's Steel Industry Under Pressure


Signed on September 28, 2026, in Cairo, the agreement provides a €40 million (CFA 26.2 billion) revolving working capital facility. The goal: secure steel billet supplies as local scrap now covers only 40% of Cameroonian steelmakers' needs.


The leader of the steel and metallurgy industry in Central Africa has just scored a major point. Prometal SA, a subsidiary of Prometal Groupe, has obtained a €40 million revolving working capital facility — CFA 26.2 billion — from Afreximbank to finance its raw material imports. The agreement was signed on September 28, 2026, in Cairo, Egypt, by Denys Denya, Vice-President of the African Export-Import Bank, and Hayssam El Jammal, CEO of Prometal Groupe.


According to a statement released on September 30 by the financial institution, the facility will enable the group to secure its supplies of steel billets and other intermediate steel products used in its plants. Billets are semi-finished steel products — ingots or bars made from melted iron — that are later transformed into rebar and other steel products.


"Today, we are crossing a new key milestone in our growth thanks to this strategic partnership with Afreximbank, which reflects the Bank's constant commitment to making Africa's industrial ambitions a reality," said Hayssam El Jammal at the signing ceremony. The executive also stated his intention to build this financial relationship for the long term to support the group's development across Africa.


Local scrap no longer enough


The financing comes at a critical time. Raw material supply has become the number one headache for Cameroon's steel processing industries. Lacking a local iron ore supply chain feeding the steel mills, they rely mainly on scrap collected on the Cameroonian market and imported semi-finished products, including billets.


But the multiplication of processing capacities has driven up input needs. According to the Cameroonian Organization of Steel and Metal Processing Industries (Ocitram), steel mills can now cover only about 40% of their needs through local scrap collection. This deficit is pushing manufacturers to increase their raw material purchases abroad. This is precisely where the facility granted to Prometal takes on its full meaning: it provides the company with a mobilizable envelope to finance its operating cycle and input imports.


For George Elombi, President of Afreximbank, "this financing is fully in line with Afreximbank's commitment to accelerating industrialization, ensuring that the continent makes the most of its natural resources." According to him, supporting industrial players like Prometal should contribute to developing manufacturing capacities and regional value chains.


1.2 million tonnes of capacity against 450,000 tonnes of demand


But access to raw materials is only one part of the equation. Cameroon's steel industry faces a stark paradox: its production capacities far exceed domestic demand. According to data provided by manufacturers, installed steel and metal processing capacities reach approximately 1.2 million tonnes per year in Cameroon, against an estimated demand of 450,000 tonnes. In other words, installed capacity is about 2.7 times higher than the national market.


As a result, Ocitram estimates that this situation, combined with raw material scarcity and energy constraints, is forcing plants to operate at around 50% of their capacity. The organization also values the stock of steel products sitting in manufacturers' warehouses at around CFA 30 billion as of September 2026 — an accumulation it attributes to saturation in certain market segments.


Prometal is therefore securing additional resources to guarantee its inputs at a time when the Cameroonian industry must manage two simultaneous constraints: financing raw materials that have become harder to source locally, and selling output from industrial capacities now far exceeding domestic demand. This context is expected to drive consolidation in the sector, as new steel plants are announced in the country.


AGL Cameroon: A CFA 7.215 Billion Recapitalization That Changes Nothing… or Almost


The capital increase decided in March 2026 is now final. But the operation brings AGL Cameroon back to its starting point, without disclosing the identity of subscribers.


AGL Cameroon has definitively completed the CFA 7.215 billion capital increase decided in March 2026, according to a legal notice published in Cameroon Tribune. However, the operation does not raise its capital above its previous level: it had first been reduced from CFA 10.621 billion to CFA 3.406 billion, before being restored to CFA 10.621 billion.


The operation was decided by the extraordinary general meeting of March 6, 2026. The company first reduced its capital by CFA 7.215 billion, through the cancellation of 214,499 shares out of the 315,750 existing ones. It then carried out an increase of an identical amount through the issuance of 214,499 new ordinary shares, each with a nominal value of CFA 33,639. The legal notice now confirms the definitive completion of this second step.


The recapitalization therefore does not result in a net increase in share capital compared to the previous situation. It brings AGL Cameroon back to its starting point, with 315,750 shares representing CFA 10,621,514,250.


Subscribers' identity remains unclear


The notice does not specify the identity of the subscribers to the 214,499 new shares, nor their distribution. This information would make it possible to determine whether the operation changed the respective shareholdings of the shareholders or whether they reconstituted their previous positions.


The question arises particularly in light of the recent evolution of AGL Cameroon's shareholding. Cameroon Continental Merchants Limited (CCML) had acquired 31,575 shares, representing 10% of the 315,750 shares making up the capital. This operation was approved by AGL Cameroon's board of directors on December 23, 2024. The transfer price was not made public.


The legal notice therefore does not establish whether CCML's stake remained at 10% after the reduction and subsequent reconstitution of the capital. It also does not specify the rationale for the prior reduction of CFA 7.215 billion.


The capital increase had already been made public after the extraordinary general meeting of March 6. The new information provided by the legal notice is therefore the effective completion of the operation, not its amount: the CFA 7.215 billion reduction and the identical increase are now completed, and AGL Cameroon's capital is restored to CFA 10.621 billion.
